Terms and Conditions
1. Definitions
In these conditions the following expressions shall have the following meanings:-
1.“theCompany”–means Nevis Marketing Limited;
2.“Goods”–means thearticlesorthingsoranyofthem describedintheContract;
3.“theBuyer”–means theperson, firmorcompanywithwhom theContractismade bytheCompanywhetherorindirectly throughanagentorfactor whoisactingfororinstructed byorwhose actionsare ratified bysuchfirm,personorcompany;
4.“Company’sPremises”–means thepremisesmentionedinthe Company’squotation orother contractualdocumentorifnotso mentionedtheCompany’sworksat11 EndeavourPark,CrowArchLane,Ringwood, Hampshire BH241SF
5.“theContract”–means thecompany’squotationforthe saleorsupplyofthe Goodsandanydocumentreferredtotherein, theseconditionsofsale,theCompany’sacknowledgementofthe Buyer’sorderforthe
Goods,andifthere shallbeanyinconsistencybetweenthedocumentscomprisingthecontracttheyshallhaveprecedenceinthe order hereinlisted.
2. General
Theseconditions shallbedeemedtobe incorporatedinallcontractsofthe Companytosell theGoodsandinthe caseofany inconsistencywithany order,letterorformofcontract sentbytheBuyertothe Companyorany othercommunicationbetweentheBuyerandtheCompanywhatevermaybe therespectivedates theprovisionsofthese conditionsshallprevailunlessexpresslyvariedinwriting andsignedby a director onbehalfofthe Company.Anyconcessionmadeorlatitude allowedbytheCompanytothe Buyershallnotaffect thestrictrightsofthe CompanyundertheContract.Ifinany particular caseanyofthese conditions shallbe heldtoinvalidorshallnotapplytothe Contract,theotherconditionsshallcontinueinfullforce andeffect.
3. Order
1.Unlessverbal,telephoneortelegraphic orders andanyvariationstoorders are confirmedinwriting bytheBuyer,theCompany shallnotbe responsibleforerrorsorsubsequentmisunderstandings.
2.Notwithstandingthatthe Companymayhavegivenadetailed quotation,noordershallbe bindingontheCompanyunlessanduntilithas beenacceptedinwriting bytheCompany.
4. Prices
1.Thepricepayableforgoods shallunlessotherwisestatedbytheCompanyinwriting andagreedonitsbehalf bethelistpriceofthe Companycurrentatthe date ofdespatch.
2.Allprices areexclusiveofValueAddedTax.Thiswillbe chargedatthe appropriaterate.
3.TheCompany’spricesaresubjecttoadjustmenttotakeintoaccount anyvariationinthe Company’scostsincluding(butnotlimitedto)variationsinwages,thecostofmaterials,exchangeratefluctuations, alterationsofduties andothercostssincethedateofthe Company’squotation or(ifno quotation isissued)theBuyer’sorder.TheCompanyaccordinglyreservestherighttoadjust theinvoicepriceby theamount ofany increaseordecreaseinsuch costsafterthepriceisquoted.Theinvoiceso adjustedshallbepayableasifthe priceset outthereinwiththe originalcontractprice.
5. Termsofpayment
1.UnlessotherwisestatedbytheCompanyinwriting andrecordedontheCompany’sacknowledgment oforder,paymentshallbedueincashnotlater thantheendofthe month followingthe monthofthe date of the invoicesavethatthe paymentshallbecomedueinany eventforthwithupon theoccurrenceofanyofthe eventsreferredtoincondition 13hereof.
2.Withoutprejudicetoany otherrightsitmay have,theCompanyisentitledtocharge interestat2% abovethethenCurrentBaseRateofLloyds Bankplconoverduepaymentsofthe priceofthegoods.
6. Delivery
1.Alltimesordates givenfordeliveryofthe Goodsaregiveningoodfaithbutwithout anyresponsibilityonthepartofthe Company.Timeofdelivery shouldnotbeofthe essenceofanyContract norshall the
Companybe underanyliabilityforany delaybeyondtheCompany’scontrol.
2.Where thegoodsarehandedtoacarrierforcarriagetothe Buyerorthe UnitedKingdomportforexpert anysuchcarriershallbedeemedtobe anagentofthe Companyandnotofthe Buyerforthepurposes ofSections 44,45and46ofthe SaleofGoods Act1979.
3.The BuyeragreesthatSection 32(3)ofthe SaleofGoods Act1979shallnotapplytoGoods sentbytheCompany.
4.Noliabilityfornon-delivery lossordamageofthe goodsoccurringpriortodeliveryorforany claimthatthe Goodsarenotinaccordancewiththe Contractwillattachtothe Companyunlessclaimstothateffect are notifiedinwriting bytheBuyertothe Company(andinthe caseofclaimsfornon-delivery,lossordamagewithacopytothe carrierofthe Company’sownvehicleshavenotbeen usedtodeliver theGoods):-(a)Within7daysofdeliveryforloss,damageornon-compliancewiththe Contract;or
(b)Within10daysofthe invoicefornon-delivery.
5.Inthe event ofavalid claimfornon-delivery,loss,damageornon-compliancewiththe contract,theCompanyundertakesatitsoption eithertorepairorreplace theGoodsatitsexpense,butshallnotbeunder any furtherorother liabilitytoany personinconnectionwithsuch non-delivery,loss,damageorcompliance.
6.Ifthe Buyershallfailtogive noticeinaccordancewithCondition 6(iv)above, theGoodsshallbedeemedtobeinallrespectsinaccordancewiththe Contract.Withoutprejudicetoearlier acceptancebythe
Buyeritshall beboundtoaccept and payforthe sameaccordingly.
7. Returns
Goods suppliedinaccordancewiththe Contractcannotbereturnedwithout theCompany’spriorwritten authorisation.Dulyauthorisedreturnsshallbesenttothe Company’spremisesatthe Buyer’sexpense.
8. PackageandCarriage
UnlessotherwiseagreedbytheCompanyinwriting thepricesofthe Goodsareexclusiveofpacking andcarriage.
9. PassingofTitleandRisk
Followingdelivery,theGoodsshallremainthesoleandabsolutepropertyofthe Companyuntilalldebts owed bytheBuyertothe Company(whetherpartpaid,securedorotherwise) are settled.
10. ConditionsandWarranties
1.TheContractshallnotconstituteasale bydescriptionorsample.
2.Anyconditionsorwarranties (whetherexpressedorimplied by statutecommonlaworarising fromconductoraprevious courseofdealingortrade customorusage) astothe qualityofthe Goodsortheir fitnessforany particularpurpose(even ifthatpurpose ismadeknownexpresslyorby implicationtothe Company)orastothe correspondenceofthe Goodswithany descriptionorsample areherebyexpressly negatived.
11. DefectiveGoods
1.Insubstitutionforallrights whichtheBuyerwouldormight havebutforthese ConditionstheCompanyundertakestopass ontothe Buyertothe extentthatitis ableanybenefitsobtainableunderanywarranty given bytheCompany’ssupplierprovidedthatthe Goodshavebeenacceptedandpaidfor.
2. NothinghereinshallimposeanyliabilityontheCompanyinrespectofany defectsofthe Goodsarisingoutofthe acts,omissions,negligenceordefaultofthe Buyeroritsservantsoragentsoranysubsequent consumer includinginparticular withoutprejudicetothe generalityofthe foregoinganyfailurebytheBuyeroranysubsequentconsumertocomplywithany recommendationsofthe Companyorthemanufacturer astostorage anduseofthegoods.
3.Nothinghereinshall havetheeffectofexcludingorrestricting the liabilityofthe Companyfordeathorpersonal injuryresultingfromitsnegligenceinsofaras thesaleisprohibitedbyUnitedKingdomstatute.
12. ConsequentialLoss
TheCompanyshallnotbe liableforany costsclaimsordamagesorexpenses arisingoutofany tortuousactoromissionorany breachofcontractorstatutory dutycalculatedbyreferencetoprofits,income, productionoraccrualsorlossofsuch profits,income,productionoraccruals byreferencetoaccrualofsuch costs,claims,damagesorexpenses onatimebasis.
13. DefaultonInsolvencyoftheBuyer
Ifthe Buyershallbeinbreachofanyofitsobligations under theContractorifany distress orexecution shallbe leviedontheBuyer’spropertyorassetsorifthe Buyershallmakeoroffertomakeany arrangementorcompositionwithhis creditorsorcommit anyactofbankruptcyofifany bankruptcypetitionorequivalentproceedingsbe presentedagainsthimor(ifthe Buyerisacompany)ifany resolutionor petitiontowind upsuchcompanyshallbepassedorpresentedorifaReceiverofthe wholeorany partofsuch company’sundertakingpropertyorassets shallbeappointed,theCompanyinitsdiscretionand without prejudicetoany otherrightorclaim maybynoticeinwriting determinewhollyorinpart anyandeverycontractbetweentheCompanyandtheBuyerormay (withoutprejudicetothe Company’sright subsequentlytodetermine thecontractforthe samecauseshoulditso decide) bynoticeinwriting suspendfurtherdeliveriesofGoodsuntilany defaultsofthe Buyerberemedied.
14. LimitationofLiability
Theliability ofthe Companytothe Buyerforany lossordamageofwhatsoever natureandhowsoevercausedshallbelimitedtoandinno circumstancesshallexceedthepriceoftheGoods.
15. Representations
Nostatementdescriptioninformationwarrantyconditionorrecommendation containedinany cataloguepricelistadvertisementorcommunicationormade verballybyanyofthe agentsoremployeesofthe
Companyshallbeconstruedtoenlarge,varyoroverrideinany wayanyoftheseconditions.
16. ForceMajeure
TheCompanyshallbeentitledtodelayorcancel deliveryortoreduce theamountdeliveredifitis preventedfromorhinderedinordelayedinmanufacturing obtainingordelivering theGoodsbynormalrouteor meansofdelivery throughanycircumstancesbeyonditscontrol includingbutnotlimitedtostrikes,lock-outs,accidents,war,fire,orunavailabilityofGoods fromitssuppliers.
17. Headings
The headingsinthese conditionsare intendedforreference onlyandshallnotaffect theirconstruction
18. ProperLaw
TheContractshallinallrespects begovernedbyEnglishLawandshallbedeemedtohave beenmadeinEngland andtheBuyerandtheCompanyagree tosubmittothe non-exclusivejurisdictionoftheEnglish
Courts.
